1. Acceptance
These Terms of Use ("Terms") form a binding contract between you (or the legal entity you represent) and SecureHup Inc., a Delaware corporation. By creating an account, signing an order form, or otherwise using the SecureHup platform (the "Service"), you accept these Terms. If you don't agree, don't use the Service.
If you accept these Terms on behalf of a company, you represent that you have authority to bind that company.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@securehup.com if you suspect compromise.
You must be at least 16 years old (and the age of majority in your jurisdiction) to use the Service.
3. Acceptable use
You agree NOT to use the Service to:
- Test, scan, or attack any system you do not own or do not have explicit, documented written authorization to test.
- Disrupt, damage, or impair targets in a way not strictly necessary for vulnerability testing.
- Exfiltrate, retain, or use data discovered in scans for any purpose other than remediation.
- Reverse-engineer, decompile, or extract our agents, models, or rule sets.
- Resell, sublicense, or white-label the Service without a separate agreement.
- Violate any applicable law (including computer-misuse, export-control, and anti-competition laws).
We may suspend or terminate accounts that violate this section, with or without notice.
4. Pentest authorization (important)
Before launching any scan, you warrant that you have full legal authority to authorize security testing of the target. You agree to indemnify SecureHup against any third-party claim arising from your failure to obtain such authorization.
For shared infrastructure (cloud providers, SaaS) you must comply with the provider's testing policy (e.g., AWS Customer Support Policy for Penetration Testing). SecureHup is not responsible for third-party policy violations caused by your scan configuration.
5. Fees & billing
Paid plans are billed in advance, monthly or annually, in USD unless otherwise stated. Fees exclude taxes, which you are responsible for. We may change pricing with at least 30 days' notice — changes apply at your next renewal.
Failed payments may result in suspension after 14 days. Refunds are issued only as required by law or at our sole discretion.
6. Intellectual property
SecureHup retains all right, title, and interest in the Service, including agents, models, UI, and documentation. You retain all rights to your code, configurations, and target data. By submitting feedback you grant us a perpetual, royalty-free license to use it to improve the Service.
Findings reports generated for you are licensed back to you for unlimited internal use, redistribution, and inclusion in audit deliverables.
7. Confidentiality
Each party will protect the other's confidential information using the same care it uses for its own (and no less than reasonable care). Your scan inputs, source code, and findings are your confidential information; our pricing, roadmaps, and non-public docs are ours.
8. Warranties & disclaimer
SecureHup warrants the Service will materially perform as described in our public documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Security testing is inherently best-effort; no scanner or pentester (human or AI) finds every vulnerability. SecureHup does not guarantee discovery of all flaws in your systems.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. EACH PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to your indemnification obligations under section 4, breaches of confidentiality, or willful misconduct.
10. Termination
You may cancel anytime in your account settings. We may terminate or suspend the Service with 30 days' notice for convenience, or immediately for material breach. Upon termination your data is retained for 90 days then deleted (see Privacy Policy §5).
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved by binding arbitration in San Francisco, California, under JAMS rules — except either party may seek injunctive relief in any court of competent jurisdiction. EU and UK consumers retain mandatory protections of their local law.
